By creating an account or using LoricaVallo, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Service.

2. Description of Service

LoricaVallo is a productivity platform that helps users organize their ideas, tasks, schedules, and personal growth. Features include:

• Ideas capture and organization
• Task and project management
• Calendar and schedule planning
• Journaling and reflection tools
• AI-powered assistance (for eligible plans)

3. Account Registration

To use the Service, you must:

• Be at least 16 years old
• Provide accurate and complete registration information
• Keep your password secure and confidential
• Notify us immediately of any unauthorized access

You are responsible for all activities that occur under your account.

4. Subscription Plans and Billing

Free Plan: Basic features with limited storage and functionality. Free forever with no credit card required.

Pro Plan: Enhanced features billed monthly or annually. Prices are displayed at checkout and may be updated with notice.

Founder Lifetime: One-time payment for lifetime access. Available only during limited promotional periods.

Team Plans: Per-user pricing billed annually. Minimum seat requirements may apply.

5. Payment Terms

• Subscriptions auto-renew unless cancelled before the renewal date
• Refunds are available within 30 days of initial purchase
• You may cancel at any time; access continues until the end of the billing period
• Price changes will be communicated 30 days in advance

6. User Content

You retain ownership of all content you create in LoricaVallo ("User Content"). By using the Service, you grant us a limited license to:

• Store and backup your content
• Display your content to you
• Process your content for features you use (e.g., search, AI assistance)

We do not claim ownership of your User Content and will not use it for advertising or sell it to third parties.

7. Acceptable Use

You agree not to:

• Use the Service for any illegal purpose
• Upload malicious code or attempt to breach security
• Interfere with other users' access to the Service
• Attempt to reverse engineer or copy the Service
• Use automated systems to access the Service without permission
• Impersonate others or misrepresent your affiliation

8. Intellectual Property

The Service, including its design, features, and content (excluding User Content), is owned by LoricaVallo and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without written permission.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. We do not guarantee:

• Uninterrupted or error-free service
• That the Service will meet all your requirements
• The accuracy of AI-generated suggestions

10. Limitation of Liability

To the maximum extent permitted by law, LoricaVallo shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or business opportunities. Our total liability shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless LoricaVallo from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.

12. Termination

We may suspend or terminate your account if you violate these Terms. You may delete your account at any time through account settings. Upon termination:

• Your right to use the Service ends immediately
• You may export your data within 30 days
• We will delete your data in accordance with our Privacy Policy

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or in-app notification. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles. Any disputes will be resolved in the courts of Delaware.
